The 2008–09 Tercera División was the fourth tier of football in Spain. Play started on 30 August 2008 and ended on 28 June 2009 with the promotion play-off finals.

The 18 group champion clubs participated in the Group winners promotion play-off and the losers from these 9 play-off ties then proceeded to the Non-champions promotion play-off with clubs finishing second, third and fourth.

- Jerez Industrial promoted to Segunda División B due to CD Linares dissolution.
Group XI - Balearic Islands
- Due to relegation to SE Eivissa-Ibiza from Segunda División B to this group, the reserve team, SE Eivissa-Ibiza B, was forced to relegate to Preferente.
Group XII - Canary Islands
- Tenerife B promoted to Segunda División B due to UD Fuerteventura administrative relegation to Tercera División.
Group XIII - Region of Murcia
- Moratalla promoted to Segunda División B due to Lorca Deportiva CF administrative relegation to Tercera División.
- Due to relegation to Lorca Deportiva CF from Segunda División B to this group, the reserve team, Lorca Deportiva CF B, was forced to relegate to Preferente.
Group XIV - Extremadura
- Villanovense promoted to Segunda División B due to Mérida UD administrative relegation to Tercera División.
Group XV - Navarra

Group XVIII - Castilla-La Mancha
- Manchego CF was relegated to Preferente for not paying its players.
